Acceptance of the Terms and Conditions

These terms and conditions are entered into by and between you and CampLife, LLC ("Company", "we", "us", and “our”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms and Conditions"), govern your access to and use of https://camplife.com (the "Website"), including CampLife Hub (“CampLife Hub”), and any other content, functionality, and services offered on or through the Website, whether as a guest or a registered user.

Please read these Terms and Conditions carefully before you start to use the Website and CampLife Hub. By using the Website or CampLife Hub, or by clicking to accept or agree to these Terms and Conditions when this option is made available to you, you accept and agree to be bound and abide by these Terms and Conditions and our Privacy Policy, found at https://camplife.com, and incorporated herein by reference. If you do not want to agree to these Terms and Conditions or the Privacy Policy, you must not access or use the Website or CampLife Hub.

The Website is offered and available to users who are 16 years of age or older. By registering for or using any services offered through this Website, you represent and warrant that you are of legal age to form a binding contract with the Company. If you do not meet all of these requirements, you must not access or use the Website.

CampLife Hub

CampLife Hub is a web-based campground reservation management platform available via the Website that enables campgrounds, RV parks, outdoor resorts, and other camping facilities throughout the United States and Canada to list their campground or facility on the Website and manage reservations for such sites that are made by users of the Website.

CampLife Hub is offered and available to campgrounds, RV parks, outdoor resorts and other camping facilities in the United States and Canada. By registering for or using any services offered through CampLife Hub, you represent and warrant that you are an operating campground or RV park in the United States or Canada and have all requisite authority to form a binding contract with the Company. If you do not meet all of these requirements, you must not access or use CampLife Hub.

Subject to and conditioned upon your payment of all applicable fees and your strict compliance with these Terms and Conditions, when you register to use CampLife Hub, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use CampLife Hub solely as set forth herein. This license grants you the right to:

Use Camp Life Hub in accordance with these Terms and Conditions and solely for your internal business purposes.
Download certain records and/or sales reports generated by CampLife Hub, and use such records and reports internally for your business purposes.
Provide your login information to one or more authorized users within your organization ("Authorized Users") to use CampLife Hub solely in connection with your business purposes. Note that individual end users are prohibited from sharing their account and/or login information with third parties.

Except as otherwise provided herein, you shall not, and shall not require any of your Authorized Users (if applicable), to directly or indirectly:

use CampLife Hub in a manner that is beyond the scope of the license granted to you;
provide any other third party, including any subcontractor, independent contractor, affiliate, or service provider, with access to or use of CampLife Hub through your account;
modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of CampLife Hub or any part thereof;
combine CampLife Hub or any part thereof with, or incorporate CampLife Hub or any part thereof in, any other programs;
reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of CampLife Hub or any part thereof;
remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices provided on or with CampLife Hub;
except as otherwise provided herein, copy CampLife Hub;
rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available CampLife Hub to any third party for any reason;
use CampLife Hub in violation of any law, regulation, or rule; or
use CampLife Hub for purposes of competitive analysis of the platform, the development of a competing software product or service, or any other purpose that is to the Company's commercial disadvantage.

You are responsible and liable for all uses of CampLife Hub through your account. Without limiting the generality of the foregoing, you are responsible and liable for all actions and failures to take required actions with respect to CampLife Hub by your Authorized Users (if applicable) or by any third party to whom you or an Authorized User (if applicable) may provide access to or use of the platform, whether such access or use is permitted by or in violation of these Terms and Conditions.

You acknowledge and agree that CampLife Hub is provided under license, and not sold, to you. You do not acquire any ownership interest in CampLife Hub under your license or any other rights thereto, other than to use the same in accordance with the license granted and subject to all terms, conditions, and restrictions under these Terms and Conditions. The Company reserves and shall retain its entire right, title, and interest in and to CampLife Hub, and all intellectual property rights arising out of or relating to the platform, except as expressly granted to you under these Terms and Conditions.

You hereby grant the Company, its affiliates, and their respective successors and assigns hereto a limited, non-exclusive, royalty-free, worldwide right and license to display, download, modify, alter, create derivative works, reproduce, use, perform, distribute, store, and transmit all content and information, including any maps, images, statements or other information submitted through CampLife Hub by you or your Authorized Users (collectively, "Facility Content"), on the Website in connection with providing and maintaining the services rendered to you through CampLife Hub. You hereby represent, warrant and covenant that you have obtained and have been effectively granted all necessary rights by all affected third parties that are necessary for the foregoing license grant.

Accessing the Website and CampLife Hub; Account Security

We reserve the right to withdraw or amend this Website and CampLife Hub, and any service or material we provide on the Website or CampLife Hub, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website or CampLife Hub is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website or CampLife Hub, or the entire Website or CampLife Hub, to users, including registered users of CampLife Hub.

You are responsible for both:

Making all arrangements necessary for you to have access to the Website and/or CampLife Hub.
Ensuring that all persons who access the Website and/or CampLife Hub through your internet connection are aware of these Terms and Conditions and comply with them.

To access the Website, CampLife Hub or some of the resources they offer, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website and in registering for an account is correct, current, and complete. You agree that all information you provide to register with this Website, CampLife Hub or otherwise, including, but not limited to, through the use of any interactive features on the Website or CampLife Hub, is governed by our Privacy Policy on https://camplife.com, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures and account registration, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and, except as otherwise provided herein, agree not to provide any other person with access to this Website, CampLife Hub or portions of the Website or CampLife Hub using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security.

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms and Conditions.

Payment

To make reservations on the Website, and to access to and use CampLife Hub, you may be required to provide your credit card or other bank account information and pay the Company such fees ("Fees") as set forth on our Website or otherwise communicated by the Company, which are subject to change from time to time. You hereby authorize the Company to bill such payment method provided. Posted prices do not include taxes or other charges. All such taxes and charges will be added to your total and will be itemized in your bill and/or invoice.

The Company may assess a set-up fee if you require any customization of or integration to CampLife Hub to meet your needs. You acknowledge that these fees are calculated based on and specific to your needs. You agree to pay all such fees when assessed, which are subject to change from time to time.

Intellectual Property Rights

The Website, CampLife Hub and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or CampLife Hub, except as follows:

Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display enhancement purposes.
You may print, copy and download any sales receipts, sales records and other documents prepared by CampLife Hub for internal business purposes.
If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

Modify copies of any materials from the Website or CampLife Hub.
Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website or CampLife Hub.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website or CampLife Hub in breach of these Terms and Conditions, your right to use the Website and/or CampLife Hub will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website and CampLife Hub nor any content on the Website or CampLife Hub is transferred to you, and all rights not expressly granted are reserved by the Company. The Company name, logo and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Website and CampLife Hub are the trademarks of their respective owners.

Prohibited Uses

You may use the Website and CampLife Hub only for lawful purposes and in accordance with these Terms and Conditions. You agree not to use the Website or CampLife Hub:

In any way that violates a license to use CampLife Hub.
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or user names associated with any of the foregoing).

Additionally, you agree not to:

You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.

Monitoring and Enforcement; Termination

We have the right to:

Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates these Terms and Conditions, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.

These content standards apply to any and all User Contributions and Facility Content. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions and Facility Content must not:

Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Contain nudity.
Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.

IN THE EVENT THAT, NOTWITHSTANDING THE FOREGOING, THE COMPANY IS FOUND LIABLE DAMAGES FROM ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, IN NO EVENT WILL THE COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS EXCEED THE AGGREGATE AMOUNT OF FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY. MULTIPLE CLAIMS WILL NOT EXPAND THIS LIMITATION. THE FOREGOING DISCLAIMER WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
